Notice of MOU

May 3, 2021

Dear Members,

One of the more interesting matters covered in the Club’s current Strategic Plan relates to the potential for “strategic amalgamations” with other licensed clubs. Clubs amalgamate for a variety of reasons, including improved member benefits, business efficiency or, in some cases, simply survival.  There have been many clubs amalgamate over recent years and Clubs NSW predict there will be more in the future.

The purpose of this letter is to inform Forestville RSL Club members that we recently submitted a Memorandum of Understanding (the “MOU”) to Dee Why Bowling Club, following that club’s publication of an Expression of Interest (the “EOI”).  An EOI is a public notice generated by a club seeking to amalgamate with other licensed clubs.

The submission of an MOU was the first of many steps that may lead to an amalgamation between the two clubs.  Let me stress that no amalgamation can occur without the support, by voting, of members of both clubs involved.  It is also worth noting that amalgamations take many months to negotiate and finalise, so it will be sometime before any vote is likely.

The Forestville RSL Board of Directors have reviewed a ‘Business Case’ document prepared by our club’s Executive Team which sets out the advantages and disadvantages of this amalgamation. The Board subsequently voted to support the submission of an MOU. Our MOU answered thirteen (13) specific questions, posed by Dee Why Bowling Club, that related to the proposed structure of their club, post-amalgamation. At this very early stage the MOU is a non-binding document.

Our club is one of three, local clubs to have submitted an MOU. The other two are the Pittwater RSL and Manly Leagues Clubs. All three clubs will present to Dee Why’s members on the 11th May, where the clubs will answer questions in relation to the future plans for the Dee Why Bowling Club, if they are selected as the potential amalgamation partner.

May I again stress that, assuming we are selected to engage in more detailed discussions, we are many weeks away from convening a meeting of our members to vote on this proposal.

Following the meeting on 11th May, I will be back in touch to update you on any progress in relation to this matter.

Yours sincerely,

Ian Thomson - CEO
